1. Contracting parties

1.1 When contracting with PIETRO SIFFI Wedding Architect, (hereinafter referred to as “Pietro Siffi” or the “Company”), the hirer or purchaser of goods and services (hereinafter referred to as the “Client”) agrees to purchase services or items subject to the following Sales Terms and Conditions.

2.2 The Company provides planning and coordination services, design and decoration services, event and wedding consultancy, sale or rental of decoration items.

2.3 The registered office of the Company is located in ..., and is identified by the VAT number ...

2.4 When the agreement is signed, the address and all contact details of the Client must be indicated. It is Client's responsibility to provide correct name, address and contact details, as well as to check that they are properly written in the agreement itself.

2.5 When the Client fills out the form - both online or in writing - the Company assumes that Client's name, address and contact details are correct and truthful.

2. Ordering, modifying, canceling

2.1 The Customer may ask Pietro Siffi to evaluate whether to provide planning, design or decoration services. Pietro Siffi will examine the customer's demand based on the requested services, style and budget. If the application is accepted, the customer must pay a deposit of € 2,000, against which a detailed estimate will be prepared. At this point he can decide whether to proceed with the confirmation, and the quotation will not be counted; otherwise the deposit paid will be returned within 30 days, withholding a fee of € 300 as reimbursement for the drafting of the budget and its discussion.

2.2 In order to receive a quote or a project the Client must contact Pietro Siffi and fill the online form. In this first  consultation (whether in person, by phone, Skype or email) the Company needs to know as much details as possible about the event itself, its style, its location (if already defined) etc.

2.3 Quotes and projects are valid for fourteen days.

2.4 During these fourteen days the Client may discuss the quote or the project, modify it, ask Pietro Siffi advice, add or change other items, etc. Optional items, which have not been ordered but could be confirmed later by the Client, are listed in the quote as “optional” (zero quantity).

2.5 Fourteen days after the quote or the project has been issued, the Client will be required to approve the contract. Upon receiving the booking deposit or a confirmation email the project will form a binding contract.

2.6 After the term of fourteen days, any further discussion, change, addition, negotiation, phone or WhatsApp call or other consultancy concerning the bespoke project - even if it was offered for free or with a coupon code - is intended as a professional service provided by the Company. In case the Customer or his planner is not willing to proceed to the confirmation of the project, a fee of € 500 is requested, without prejudice to any additional charges arising from further professional activities.

2.7 After the booking of the date, the project may be modified by the Client by adding or changing the items, for a maximum of three times within one month before the date of the event. Any change will not lead to a variation of the order beyond the limit of 5%. However there are no limits for possible additions. Under no circumstances, the Client can demand a reduction of the amount agreed at the time of the signing of the project or after the payment of the deposit.

2.8 After that term, the Company reserves the right to accept or refuse further changes. Whilst the Company will endeavour to cover any last minute additions or changes to delivery addresses, Pietro Siffi does request that the Client calls the Company directly on +39 340 1439981 (or to other phone number which will be indicated in the  Letter of Appointment or in the Quotation) to arrange this and make the extra payments: Pietro Siffi will be able to inform the Client of any difficulties with his changes immediately.

2.9 The deposit required to book the date of the event varies from 30% to 80% depending on the time and place chosen for the event itself. For amounts up to € 3,000 total payment is required upfront.

2.10 Three months before the date of the event, the 80% of the amount must be paid. One month before the  date, the Client is required to pay the project in full. The order of the Client cannot be delivered unless full payment has been received. All payments must be received by the due date, otherwise the order may be cancelled at the sole discretion of Pietro Siffi.

2.11 An extra charge of 20% will be requested for events booked less than one month before the wedding date.

2.12 A special discount may be given to the Client if he will pay the 100% of the amount upfront, at the moment of the booking.

2.13 Apart from the payment of the fee requested for the project, any form of payment to Pietro Siffi is deemed as acceptance of all of the terms and conditions of this agreement, thereby confirming the Client's order.

2.14 The booking deposit is non-refundable should the Client decide to withdraw from the contract for whatever reason. If the cancellation is communicated less than three months before the event, the Client will pay the entire amount.

2.15 A final invoice will be issued on the event date.

2.16 Prices quoted will take into consideration a premium for events occurring over any religious or public holiday. These dates will incur additional fees due to price increases at auctions and to the cost of labor.

2.17 The Company reserves the right to make adjustments to the price due to an error or omission. Pietro Siffi will inform the Client of the correct price and give him the opportunity to cancel or modify the order. For errors or omissions up to € 500 is not possible to cancel the order.

2.18 A security bond may be required to be paid to Pietro Siffi under certain circumstances. Where applicable, and at the sole discretion of Pietro Siffi, the security bond will be refunded to the Client after the safe return and inspection of all hire items. In case of loss or damage, Pietro Siffi will deduct from the security bond the amount needed to replace lost or damaged items.

2.19 If the loss or damage exceeds the amount of the security bond, the Client agrees to pay the additional costs charged by Pietro Siffi for these losses and damages within 7 calendar days.

2.20 Unpaid invoices will be handed over for collection and all collection costs will be added to the overdue invoices for the Client’s cost.

2.21 The Company reserves the right to terminate any contract without penalty. In the event of termination Pietro Siffi shall refund all sums paid by the Client to Pietro Siffi, save deduction of expenses incurred up to that time.

2.22 In case of cancellation, after receiving the written confirmation or the payment by the Customer, the Company will apply a cancellation fee, corresponding to the cost of the project (for amounts up to € 500) or to the first required deposit (cfr. 2.6), save deduction of expenses incurred up to that time.

2.23 In the event the Client is forced to change the date of the wedding, every effort will be made by the Company to transfer location reservations, sub-contractors and Pietro Siffi's support to the  new date.

2.24 The Client agrees that in the event of a date change any expenses including but not limited to deposits and fees that are non-refundable and non-transferable are the sole responsibility of the Client There may also be additional charges above and beyond those set in the original contract.

2.25 The Client further understands that last minute changes can impact the quality of the event and that Pietro Siffi is not responsible for these compromises in quality.

2.26 If the Client changes the date/location of the event and the planner is unavailable to provide services, then the planner is released from all contract obligations and shall in no way be held responsible or liable for non-performance. The Client also forfeits all costs for non-compliance with this agreement.

2.27 Specific agreements derogating to the General Sales Terms and Conditions, stipulated between the Company and the Customer, are governed by the rules indicated in chapter 11 of the Conditions themselves.

3. PLANNING AND COORDINATION

3.1 All suppliers/services contract will be between the Client and the supplier/service provider.

3.2 The Client is responsible to pay Pietro Siffi as per contract. In the event payment hasn’t been received within the agreed term, then the Company reserves the right to cancel the contract and the event date and time may be re-booked by other parties, without exception and without notice. Payment will still be due to avoid legal action.

3.3 On the event day, the Client is responsible for travel expenses to be calculated depending on location, if the event venue is more than 50 km round trip to the  coordinator’s office.

3.4 Pietro Siffi's responsibilities include all of some of following services, according on what has been agreed in writing:

  • consultations via email/telephone/WhatsApp
  • face to face consultation. An extra cost will be added for travel expenses if the meeting is more than 20 Km trip from the Company office;
  • assistance with budget and breakdown of costs;
  • discussion of theme, style etc.;
  • find all suppliers/service providers as requested;
  • attendance at meetings with suppliers/service providers as requested. An extra cost will be added for travel expenses if the meeting is more than 20 Km trip from the Company office;
  • visit to the ceremony and the reception site prior to the event;
  • provide a detailed timeline to suppliers/service providers and event party;
  • contact with all suppliers/service providers 1-2 weeks before the wedding day;
  • day coordination and supervision until the end of the event (if included).

3.5 The Company, when hired for planning or coordination, has the role of advisor and coordinator.

3.6 The Company will use its judgement when taking action in regard to changes, weather, tardiness, non performance etc. based on the situation, time limitations and/or Client's wishes.

3.7 In the event of any supplier/service provider’s cancellation, Pietro Siffi may substitute a new supplier/service provider with or without advance notice to the couple at its discretion and any additional costs to be paid by the Client.

4. VENUES AND VENDORS

4.1 The scouting of the venue is carried out starting from Customer's requests: the specific date of the event; style, location, offered services and capacity of the venue; facilities, etc. The Client understands that this activity is based on existing venues, on their availability on the chosen day and on the allocated budget. The planner is not able to create a venue that does not exist, nor to make available a venue which has already been booked on the same day, nor to impose conditions that do not respect the general policies of the venue itself of local regulations (ex. gr. public nuisance, time limits for music, etc).

4.2 The Company recommends to avoid conducting parallel searches on Google or other wedding websites, which are normally misleading. The Customer can of course provide general indications or desiderata, keeping in mind however that the experience of the planner and his knowledge of the market allow him to access more precise and updated information.

4.3 The planner will recommend a selection of venues, which must be as close as possible to Customer's instructions. It is obviously not possible to provide an endless list of venues, because this is not part of the planning activity.

4.4 The inspection of the venues and all additional displacements of the planner required by the Customer will be charged and the amount must be be approved in advance by the Customer.

4.5 The cost of the trip will be indicated in advance, in addition to travel expenses (fuel, motorway tolls, room and board). A visit with the Customer to one or two venues in the same area is included in the full planning fee.

4.6 The Customer undertakes not to directly contact the venue or other vendors, using the information provided by the planner to bypass him. However, the Customer has the right to verify all agreements and contracts with the venue and vendors, as well as the amount of the payments.

4.7 If the Customer decides to choose a venue or a vendor that has not been recommended by the planner, any problems or consequences resulting from this choice shall obviously not be charged to the Company.

5. Limitations of liability

5.1 Except where Pietro Siffi is in breach of a guarantee in terms of the law, the Client in entering into the contract acknowledges that in all other circumstances whatsoever Pietro Siffi shall not be liable for direct or consequential damage, loss or expense whatsoever and howsoever arising (whether in contact or in tort) including that resulting from the negligence of Pietro Siffi or arising by operation of law and whether suffered by the Client and/or third party for any amount that exceeds the amount actually paid by the Client to Pietro Siffi pursuant to this contract.

5.2 If the Client is acquiring the services for the purposes of a business, the provisions do not apply.

5.3 Pietro Siffi will not be liable or responsible for any failure to perform or delay in performance of any of our obligations that is caused by events outside our reasonable control.

5.4 Events outside our reasonable control include any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

  • strikes, lock-outs or other industrial action;
  • civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
  • fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
  • impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
  • impossibility of the use of public or private telecommunications networks;
  • the acts, decrees, legislation, regulations or restrictions of any government;
  • unusual weather conditions;
  • decisions, policies or rules of the venue, which have not been previously communicated to and agreed between the Company and the management of the venue itself.

5.5 The performance of the Company under any contract is deemed to be suspended for the period that the event which is outside of its control continues, and Pietro Siffi will have an extension of time for performance for the duration of that period.

5.6 Pietro Siffi will not accept any responsibility should flower selection for the Client fail to be delivered by the wholesalers due to lack of availability. In this instance the Client will be notified.

5.7 Pietro Siffi will place decorations, equipments and other items at the venue in order to minimise risks and hazards; the Company reserves the right to relocate items in the case that the weather is inclement and could cause a hazard to wedding guests or damage to hired items.

5.8 Pietro Siffi will always do its best to find the top suppliers wherever the event location is, but cannot be held responsible for any supplier/service provider’s performance or product.

6. HIRING

6.1 The Client is responsible for  hired items. Therefore if damage occurs, the Client will be liable for the subsequent costs.

6.2 The rental period for hired items is for one calendar day unless stipulated otherwise. Late returns will be charged for at a full additional hire price.

6.3 Pietro Siffi reserves the right to refuse the use of outdoor decoration items in the event of adverse weather conditions where their use could affect their integrity or cause harm to others.

7. Complaint policy

7.1 Any complaints about goods provided by Pietro Siffi must be made upon delivery on the event day. After this time, it is deemed that the Client is satisfied with all aspects of the good as delivered.

7.2 Any complaints about services provided by Pietro Siffi must be made within the day after the event. After this time, it is deemed that the Client is satisfied with all aspects of the service as provided.

8. Privacy policy

8.1 Pietro Siffi is committed to ensuring the privacy and security of all personal information collected for the purpose of processing orders. Pietro Siffi respects the privacy of all its customers and the recipients of services and complies with the Law.

8.2 Pietro Siffi does not sell, rent or lease any personal customer information to third parties. The Company will provide details to delivery couriers and other companies that work on Pietro Siffi 's behalf.

9. Copyrights

9.1 According to European Laws and Regulations on Copyrights protection and Royalties, the Client understands, approves and accepts the clause that he shall not use, replicate nor diffuse – even partially – any project or design, by itself or by addressing other companies or private individuals. The Client may share those details with all people and companies involved in the event project.

9.2 Images provided to the Client by Pietro Siffi are protected by copyright and are the property of Pietro Siffi; they may not be used, copied, published or distributed without the express consent of Pietro Siffi.

9.3 Photos of  flower arrangements and/or decorations by Pietro Siffi must indicate - if they will be in any way whatsoever published - the following credit: Wedding [or: Event] planning by PietroSiffi.com.

9.4 The Client authorizes Pietro Siffi to publish photos and videos of the event, and he also will send them as soon as he will get them from the photographer or the videographer. Alternatively, the Client may ask the photographer and the videographer that they must be sent to Pietro Siffi.

9.5 If the Customer will have a video of the event, the Company must be informed about the name and contact details of the videographer, in order to send him the Company logo, to be published at the end of the video itself.

9.6 Any agreement which restricts the use of  photos or video must be noticed before the confirmation of the project. The Customer hereby declares that Pietro Siffi can use wedding photos of wedding decorations from the same day of the event and that they are not object of any other agreement with third parties.

9.7 The non-delivery of photos and videos within 90 days entails a penalty equal to 50% of the total amount of the event.

9.8 Pietro Siffi will credit the photographer and the videographer.

10. Nondisclosure agreement

10.1 The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information (“Confidential Information”).

10.2 For purposes of this Agreement, “Confidential Information” shall include all information or material that has or could have commercial value or other utility in the business in which Pietro Siffi is engaged. Quotes and projects provided to the Client by the Company are always to be considered as Confidential Information.

10.3 The Client shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of Pietro Siffi.

10.4 The Client shall carefully restrict access to Confidential Information to employees, contractors and third parties as is reasonably required; he shall not, without prior written approval of the Company, use for Client's own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Pietro Siffi, any Confidential Information.

10. 5 The Client shall return to the Company any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if Pietro Siffi requests it in writing.

10.6 The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Client's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until the Company sends Client written notice releasing Client from this Agreement, whichever occurs first.

11. Special agreements (Elite Programme)

11.1 The Company has the right to concede the Customer special conditions notwithstanding General Sales Terms and Conditions.

11.2 These special conditions may include discounts, promotions, changes in payment terms, services or additional goods.

11.3 If these particular conditions are linked to an agreement with the Customer, for example - but not exclusively - relating to the granting of rights to publish photos or videos of the event; or the possibility of entrusting the Company with the choice of a particular style or design for the decoration of the event itself, the non-observance of the agreement with the Customer is a sufficient reason - at the sole discretion of the Company - for the cancellation of the agreement.

11.4 The cancellation of the agreement implies as a consequence the application of the normal sales conditions, as well as the cancellation of discounts, promotions, changes in payment terms, services or additional goods.

11.5 The Company therefore has the full right to apply to the Customer, where the conditions referred to in point 11.3 occur, the full compensation for the planning and for all the goods or services requested in the contract stipulation phase.

11.6 The Company also has the right to cancel or renegotiate, in its sole discretion, also the contracts existing with third parties, whose conditions have been determined by the general agreement referred to in points 11.1 and 11.2.

11.7 The Customer has the right to choose whether to continue to make use of the services or goods supplied by the Company at the original price, or to withdraw from the contract, except for the obligation to pay the full payment of the planning and all the services provided until then, where they are not covered by the deposit paid.

12. Other

12.1 Italian law shall apply in all relations to Pietro Siffi. E&OE
